2024 Annual General Meeting: Approval of All Resolutions Submitted

Rueil-Malmaison, France, May 23, 2024 – Schneider Electric's ordinary and extraordinary Annual General Meeting (AGM) was chaired by Jean-Pascal Tricoire. All resolutions presented were approved by shareholders.

Notable resolutions included a dividend distribution of €3.50 per share to be paid on May 30, 2024. The term of Mr. Fred Kindle, Mrs. Cécile Cabanis, and Mrs. Jill Lee was renewed, and Mr. Philippe Knoche was appointed as a Director.

Mazars and PricewaterhouseCoopers Audit were appointed as statutory auditors for sustainability information. The Board was authorized to buy back company shares.

Jean-Pascal Tricoire highlighted Schneider Electric’s Climate strategy and the company's roadmap to achieving Net Zero by 2050. Peter Herweck, CEO, emphasized the company's growth in electrification, automation, and digitization. The company reported record revenues of €36 billion in 2023.

The Board of Directors’ composition and committees were also reviewed. Fred Kindle presented new compensation policies for corporate officers, including sustainability performance conditions.
