Aton Resources Secures $30M Credit Facility

Aton Resources Inc., a Vancouver-based mining company, has announced a new agreement with major shareholder OU Moonrider to access a US$30 million credit facility. This facility is expected to support Aton's exploration and development efforts, particularly at their Hamama project. The loan can be drawn in several advances and is set to mature in 2028, with a fixed interest rate of 12% per annum. Should there be any unpaid amounts post-maturity, the interest will increase to 20% annually.

The debt is unsecured and cannot be converted into equity, nor will Aton issue bonus shares or warrants in connection with it. As Moonrider holds a significant portion of Aton's shares, equating to approximately 66.4%, this transaction is considered "related party" according to regulatory standards. Despite this, it meets exemptions, allowing it to bypass certain valuation and minority approval requirements.

Aton's board, barring Moonrider's representative Tonno Vahk, gave the green light, citing reasonable commercial terms. Funds from the facility will also cover general and administrative expenses, furthering Aton's operational capabilities in the Arabian-Nubian Shield region of Egypt.
