Chargeurs Holds Annual General Meeting, Announces Board Changes
Chargeurs conducted its Annual General Meeting on April 30, 2024, confirming the renewal of Mr. Michaël Fribourg as Director and Chairman of the Board. The shareholders showed strong confidence in the leadership, passing all proposed resolutions with high approval rates. Significant board changes included the appointment of Colombus Holding 2 S.A.S., represented by Mr. Georges Ralli, and Mrs. Stéphanie Cassan-Fribourg as new Directors.
Additionally, the company announced the establishment of a Sustainable Strategy Committee to bolster its focus on sustainable practices. This committee is slated to play a crucial role in the upcoming 2025-2030 Strategic Plan. Reflective of the company's emphasis on governance, the Board now consists of eight members, half of whom are women, surpassing the mandatory quota of 40% female representation.
The meeting also appointed Grant Thornton S.A.S. as the auditor responsible for certifying sustainability-related information. It approved compensation policies for the Chairman and other Directors for the fiscal year 2024, aligning with the provisions of the French Commercial Code. Furthermore, Shareholders consented to the issuance of interim dividends in shares for 2024, enhancing flexibility in shareholder returns.
