DANAE GROUP completes major acquisition in the media sector

DANAE Group, a company active in media and communication, announced the acquisition of a majority stake in the capital of ENTREPRENDRE, a publisher known as ENTREPRENDRE-LAFONT PRESSE. The operation, carried out off-market on May 6, 2024, gives DANAE control of 85.38% of the capital and 75.68% of the voting rights of the company listed on Euronext Growth Paris.

The purchase was concluded at a price of 6.52 euros per share, with a possibility of maximum price adjustment of 1.91 euros depending on the results of the year. The transaction was financed by equity and bank loans.

DANAE Group plans a mandatory simplified takeover offer for the remaining shares of ENTREPRENDRE at 8.43 euros per share, a price including the maximum potential earnout. This offer reflects a significant premium to the closing price prior to the announcement.

With this acquisition, DANAE Group intends to strengthen its presence in the media market, by integrating the varied portfolio of ENTREPRENDRE, which includes more than 80 magazines. This merger should also accelerate ENTREPRENDRE's digital transition, according to Émeline Santerre, president of DANAE.
