Belgian State Enters Exclusive Negotiations to Acquire ENGIE's Nuclear Activities

The Belgian State and ENGIE Group have announced the signing of a Letter of Intent for exclusive negotiations regarding the potential acquisition by the Belgian State of ENGIE's entire nuclear activities. This includes ENGIE's and Electrabel's seven reactors and all associated assets and liabilities.

The initiative aligns with Belgium's strategic plan to take direct ownership of its nuclear assets, aiming to extend existing reactor operations and develop new nuclear capacity. This move is intended to secure Belgium's long-term energy future, focusing on supply security, climate objectives, and socio-economic growth.

The Belgian State will undertake a due diligence review, with an aim to outline the transaction's terms by 1 October 2026. Both parties agree to preserve the value of nuclear activities throughout ongoing negotiations.
