Fnac Darty Announces Tender Offer for Unieuro Shares
Fnac Darty SA, in partnership with RUBY Equity Investment S.à r.l., has launched a voluntary public tender and exchange offer for all remaining ordinary shares of Unieuro S.p.A. The offer follows Italian Legislative Decree no. 58 guidelines, reaching a stake above 90% but below 95% of Unieuro’s share capital. The offer aims to acquire 1,845,955 remaining shares representing 8.85% of Unieuro's issued share capital.
The procedure to comply with the Obligation to Purchase under Art. 108 of the CFA will begin on 18 November 2024 and close on 6 December 2024. Shareholders can choose a cash alternative of 11.67208 Euros per share. Payment is set for 13 December 2024.
Fnac Darty will issue new shares for the transaction, ensuring the obligation's fulfillment with a guarantee from Crédit Agricole CIB. This strategic move highlights Fnac Darty's commitment to expand its influence in the European retail sector.
