Fnac Darty Launches Voluntary Public Tender for Unieuro Shares

On November 27, 2024, Fnac Darty SA, alongside RUBY Equity Investment S.à r.l., announced a voluntary public tender and exchange offer for all Unieuro S.p.A. shares. This move aims to acquire the ordinary shares of Unieuro not currently held by the Offerors. The purchase price per share is set at €11.66, slightly below the alternative cash consideration of €11.67208, but less than the offer's implied value at €12.02 per share.

The transaction totalled 105,145 Unieuro shares, and as a result, the Offerors now hold approximately 92.05% of Unieuro's share capital. The acquisition is in line with regulatory requirements as laid out by the Italian Legislative Decree and the regulations adopted by Consob, with Fnac Darty and Ruby considered as persons acting in concert under the offer.

The offer is exclusively available in Italy, with international distribution restrictions, specifically excluding countries such as the United States, Australia, Canada, and Japan.
