Fnac Darty Receives EU Approval for Unieuro Acquisition
Fnac Darty has obtained authorization from the European Commission to proceed with the acquisition of Unieuro. The shares tendered, in addition to Fnac Darty’s existing stake, now represent over 41% of Unieuro’s share capital. The offer period concludes on October 25, 2024, at 5:30 p.m. Enrique Martinez, CEO of Fnac Darty, expressed satisfaction with the progress, highlighting that more than 25% of Unieuro's shares were tendered in a single day. He also noted the successful waiver of the antitrust condition, marking a significant advance towards completing the transaction.
The offer is being conducted exclusively in Italy and is not open to shareholders in jurisdictions such as the United States, Canada, Japan, and Australia. The conditions include a lowered minimum shareholding threshold of 66.67% for fulfillment, down from the previous 90%. No competition issues are expected during the formal review phase by the European Commission.
