Fujitsu ND Solutions AG Seeks Squeeze-Out of GK Software SE Minority Shares
On December 2, 2024, the management board of GK Software SE received a formal request from the main shareholder, Fujitsu ND Solutions AG (FNDS), to initiate a squeeze-out procedure. This process aims to transfer minority shareholders' shares to FNDS in exchange for appropriate cash compensation, as per the German Stock Corporation Act.
FNDS, which holds 96.33% of GK Software SE's share capital and voting rights, will specify the cash compensation amount later. The squeeze-out's effectiveness requires approval at the shareholders' meeting and registration in the commercial register.
FNDS reserves the right to withdraw its request before the shareholders’ meeting agenda's announcement. The decision impacts the minority shareholders, consolidating FNDS’s control over GK Software SE.
