Fuller, Smith & Turner PLC: Result of 2024 Annual General Meeting

At the Annual General Meeting (AGM) of Fuller, Smith & Turner PLC, held on July 23, 2024, at The George IV in London, all resolutions were passed. The votes received for each resolution were as follows:

The annual report and accounts were approved with 98,982,472 votes for and 2,163 against. The final dividend declaration saw 98,995,254 votes for and 1,663 against.

The 2024 Directors’ Remuneration Report and Policy were approved with 95,218,901 and 93,633,350 votes for, respectively. Directors Juliette Stacey, Robin Rowland, Simon Emeny, and Fred Turner were re-elected.

Ernst & Young LLP was re-appointed as auditor, with the directors authorized to set the auditor's remuneration. Authorizations were given for directors to allot new shares and to allot shares without pre-emption rights.

Resolutions to buy back 'A' ordinary shares and to amend the notice period for general meetings were also passed. These documents will be available on the company's website and filed with relevant authorities.
