Groupe SNEF acquires a majority stake in Alliativ, controlling shareholder of Visiativ
On June 11, 2024, Visiativ announced the acquisition by Groupe SNEF of 75.72% of the capital of Alliativ, the controlling shareholder of Visiativ. The transaction was carried out at a price of €37.00 per share, representing a premium of 35.5% compared to the closing price on February 8, 2024.
Following this acquisition, Alliativ, now controlled by Groupe SNEF, will file a public tender offer to acquire the remaining shares of Visiativ. The A2EF firm was appointed to assess the fairness of the financial conditions of this takeover bid.
This operation offers a liquidity opportunity to Visiativ shareholders. If successful, a squeeze-out procedure could be initiated for the shares not tendered to the offer.
The board of directors of Visiativ recorded the resignation of Christian Donzel and appointed Stéphane Corteel as director. The rest of the governance remains unchanged.
