Hawthorn Resources Announces Name Change and Acquisition Agreement Amendments
Hawthorn Resources Corp. is set to undergo a significant transformation with a name change to Prince Silver Corp. and a 1:0.75 share consolidation effective July 11, 2025. The revamped entity will trade under the new symbol "PRNC" post-market close on the same date. This move aligns with the company's major asset, the Prince Silver Project, reflecting a strategic rebranding aligned with silver exploration focus.
Concurrently, Hawthorn is amending its acquisition terms with Stampede Metals Corporation. The revised agreement substitutes Consideration Shares with Units, encompassing both shares and Contingent Value Rights. This strategic step allows for a more flexible transaction framework, possibly resulting in 6,800,000 Milestone Shares under certain conditions.
Upon completing the acquisition and subscription receipt conversions, Hawthorn will issue approximately 45.86 million post-consolidated shares. Stampede Metals Limited will attain a 32% stake, becoming a new Control Person. A voluntary lock-up will restrict their trading activity to specified conditions.
