INFICON AGM Unanimously Approves Board Proposals, Announces Dividend

INFICON Holding AG announced that its Annual General Meeting (AGM) held on April 4, 2024, saw the approval of all motions proposed by the Board of Directors, with 68.42% of voting rights represented. The company, listed on the SIX Swiss Exchange under the symbol IFCN, gained shareholder approval for its annual and consolidated financial statements for the fiscal year 2023, alongside the non-financial reporting in accordance with the Swiss Code of Obligations.

The AGM also passed a resolution for a CHF 20.00 per share dividend for 2023, set to be distributed on April 10, following the ex-date of April 8 and record date of April 9, 2024. Additionally, it approved the re-election of all Board members and executives, including Dr. Beat E. Lüthi as Chairman for another one-year term. Zürich law firm Baur Hürlimann AG and KPMG AG have been re-elected as independent proxy and auditors, respectively, each also for a one-year term.

In matters of corporate governance, the AGM approved all proposed changes to the Articles of Association and consented to the Remuneration Report for 2023 in a consultative vote. It also sanctioned the proposed compensation for Board members and Group Management for the upcoming period.
