ISS and Glass Lewis Back SoftwareOne-Crayon Merger Proposals
SoftwareOne Holding AG has received support from proxy advisors ISS and Glass Lewis for all its proposals at the upcoming Extraordinary General Meeting (EGM), regarding a combination with Crayon. The advisors endorsed the creation of a capital band and the election of Crayon co-founders as new Board members, pending transaction completion. They stressed the strategic merits and synergy potential of the merger.
The endorsement includes ISS's view that the merger has a strong strategic rationale with reasonable valuation. Glass Lewis described the Offer as strategically compelling, aiming to boost SoftwareOne's competitiveness and profitability. Both company's Boards encourage shareholders to support the merger, scheduled to close by June 2025, post regulatory approvals.
