Merger by absorption of the Var and Gard Railway and Tramway Company

On September 12, 2024, the Board of Directors of the Société des Chemins de Fer et Tramways du Var et du Gard and the Management Board of the Compagnie du Cambodge approved the merger project by absorption. This project had been announced on July 10, 2024. This merger aims to rationalize and simplify the structures of the Bolloré Group.

Shareholders of Compagnie du Cambodge will vote on the proposal to divide the nominal value of Compagnie du Cambodge shares by 100 before the merger. The parity would be 110 Compagnie du Cambodge shares for 1 share of Société des Chemins de Fer et Tramways du Var et du Gard.

The merger agreement will be submitted for approval to the extraordinary general meetings of shareholders of both companies on October 21, 2024. The necessary documents will be published in the Bulletin des Annonces Légales Obligatoires.

The merger auditor, Maurice Nussenbaum, has prepared the reports on the terms of the merger and the value of the contributions. These documents will be available on the company's website.
