Regional Court Stuttgart Upholds VARTA AG's Restructuring Plan
VARTA AG announced that the Regional Court of Stuttgart has rejected appeals against the plan confirmation decision of the Restructuring Court as inadmissible. This ruling renders VARTA AG's restructuring plan legally binding. The restructuring court initially confirmed the plan on 11 December 2024, following its approval by the majority of voting groups.
The plan involves a capital reduction to zero, resulting in current shareholders exiting without compensation and VARTA AG's shares being delisted. New equity totaling €60 million will be raised through a capital increase without subscription rights, involving Dr. Michael Tojner and an investment company of Dr. Ing. h.c. F. Porsche AG. Additionally, the company will reduce existing debt from €485 million to about €230 million and secure a new senior loan of €60 million to ensure sustainable financing.
With legal confirmation, the restructuring and delisting will proceed promptly.
