Sazerac Launches Takeover Offer for Berentzen-Gruppe
Sazerac Germany Holding GmbH has initiated a voluntary public takeover offer for Berentzen-Gruppe Aktiengesellschaft, commencing today with an acceptance period until November 20, 2026. The offer, priced at EUR 5.55 per share, presents a premium of approximately 68% over Berentzen's average share price prior to September 16, 2026, providing shareholders a secure cash exit.
The takeover bid, approved by the German Federal Financial Supervisory Authority, aims for a majority control to facilitate a delisting of Berentzen from the stock exchange. Both the Management and Supervisory Boards of Berentzen endorse the offer, reflecting confidence in its value to stakeholders amidst European market challenges.
A business combination agreement was reached in September 2026, aligning Sazerac's and Berentzen Group's resources to enhance their market presence globally. The transaction is expected to complete by year-end 2026, contingent on meeting certain conditions, including an acceptance threshold of 50% plus one share.
