SoftwareOne Announces 2024 Annual General Meeting Outcomes

SoftwareOne Holding AG, a key player in the software and cloud solutions sector, conducted its 2024 Annual General Meeting (AGM) in Lucerne, Switzerland on April 18, 2024. The meeting was attended by 216 shareholders and shareholder representatives who held 77.73% of the voting capital.

During the AGM, several key resolutions were passed including approval of the Management Report, Annual Statutory and Consolidated Financial Statements for 2023, and the Non-Financial Report of 2023. A dividend payment of CHF 0.36 per registered share was ratified, set to be distributed from April 24, 2024.

The assembly also saw the election of a new Board of Directors. Daniel von Stockar was re-elected, joined by newly elected members Andrea Sieber, René Gilli, Jörg Riboni, and Till Spillmann. Interestingly, shareholders declined to grant discharge to the previous Board and Executive Board members for the financial year 2023.

In addition, both the maximum aggregate compensation for the Board of Directors until the 2025 AGM and that for the Executive Board for the fiscal year 2025 were approved. Erstwhile Chairman Adam Warby expressed confidence in the company's direction and future growth, while the newly appointed chairman Daniel von Stockar thanked the shareholders for their trust and support.
