SoftwareOne Announces Extraordinary General Meeting for April 2024

SoftwareOne Holding AG, a prominent global provider of software and cloud solutions, has formally called upon its shareholders to attend an extraordinary general meeting (EGM) slated for April 18, 2024. This decision came in response to a request from significant shareholders, including Daniel von Stockar, B. Curti Holding AG, and René Gilli, aiming to discuss important matters concerning the company’s future.

According to SoftwareOne’s Articles of Association, the convening of an EGM is mandated when shareholders representing at least 3% of the total share capital or voting rights make such a request. The Board of Directors has adhered to this requirement by announcing the EGM within the stipulated 30-day window.

The EGM is set to coincide with the previously planned 2024 annual general meeting (AGM), with both meetings taking place on the same day at KKL Lucerne starting at 3 p.m. SoftwareOne intends to integrate the EGM agenda with that of the AGM and will distribute the related documents, including board recommendations and proxy materials, to the shareholders around March 19, 2024.

SoftwareOne also emphasizes to shareholders the importance of registering their shares in the company's share register to secure their participation and voting rights for the AGM. The company has provided a hotline for shareholders for any inquiries related to share registration.
