SoftwareOne Extends Voluntary Offer for Crayon
SoftwareOne Holding AG, a global software and cloud solutions provider, has gained control of 83.8% of Crayon's shares as of April 29, 2025. This follows their voluntary share and cash offer for Crayon, initially announced in March 2025. The tender offer period, which was originally scheduled to end, has been extended until May 6, 2025, at 16:30 CEST.
The offer includes NOK 69 in cash and 0.8233 newly issued shares in SoftwareOne per Crayon share. Approximately 76.8% of Crayon’s shares have accepted the offer, excluding treasury shares owned by Crayon.
Despite waiving the minimum acceptance condition, the offer still requires regulatory approval. Advisors such as Jefferies, Pareto Securities, and Walder Wyss are involved in the process.
