SouthGobi Announces Voting Results of the Special Meeting
Vancouver, BC / ACCESSWIRE / August 29, 2024 - SouthGobi Resources Ltd. (TSX-V:SGQ)(HK:1878) ("SouthGobi" or the "Company") held a Special Meeting of its shareholders on August 28, 2024, in Vancouver, Canada. The meeting resulted in the approval of two key resolutions.
Shareholders approved the March 2024 Deferral Agreement and April 2024 Deferral Agreement by a majority of 97.65%. These agreements involve JD Zhixing Fund L.P. ("JDZF") and the Company, as detailed in the Management Proxy Circular from July 25, 2024.
Additionally, shareholders passed an ordinary resolution approving the Convertible Debenture Amendment dated May 9, 2024, also with a 97.65% majority. This amendment pertains to the Company's convertible debenture issued on October 26, 2009.
The total number of issued shares eligible to vote was 296,274,666. Given its involvement, JDZF abstained from voting on these resolutions. The Company’s share registrar, TSX Trust Company, oversaw the vote-taking process.
