TERACT's Public Buy-Out and Squeeze-Out Initiated

On May 18, 2026, the Autorité des Marchés Financiers (AMF) announced the completion of the public buy-out offer filed by InVivo Group, in collaboration with Founders' Companies, for TERACT shares and BSAR B. The offer concluded on May 13, 2026, allowing InVivo and its partners to hold 99.62% of TERACT's share capital and 99.43% of voting rights.

With this buy-out, InVivo also acquired 718,263 BSAR A and 22,196,854 BSAR B of TERACT. Together with the shares owned, this represents a 97.23% ownership of the capital on a diluted basis. The AMF will initiate a squeeze-out process for remaining securities, priced at €3.12 per share and €0.0039 per BSAR B. Listing of TERACT shares was suspended pending this procedure.
