Ventrifossa BidCo AG Announces Delisting Offer for STEMMER IMAGING AG
On November 6, 2024, Ventrifossa BidCo AG, a company controlled by MiddleGround Management, L.P., declared a public delisting tender offer for STEMMER IMAGING AG. The bid targets shares not already held and offers EUR 48.00 per share. Ventrifossa currently owns approximately 83.54% of STEMMER's capital, post recent transactions.
STEMMER's management supports the delisting and will apply for share trading revocation on the Frankfurt Stock Exchange. The offer document will be published online. The offer respects German and U.S. laws and is not extended to jurisdictions where it contravenes local legislation.
