JP Morgan Chase exceeds 5% of Worldline's capital

On October 28, 2025, JP Morgan Chase & Co. announced that it had indirectly crossed the 5% ownership threshold in Worldline. The company now holds 5.11% of the share capital, representing 14,508,666 shares, or 4.41% of the voting rights. This threshold was reached through off-market acquisitions and an increase in shares held by fungibility.

The shares are distributed among several JP Morgan entities. JP Morgan Securities LLC owns 0.14% of the capital, while JP Morgan Securities plc holds 4.97%. In addition, put option and third-party ADR contracts contribute to this increased ownership.

JP Morgan also holds convertible bonds into Worldline shares, exercisable until July 2026, which could increase its influence in the future.
