ZEAL Network SE Moves to Acquire Full Ownership of Lotto24 AG

ZEAL Network SE has announced its strategy to increase its stake in Lotto24 AG, aiming to acquire the remaining shareholding. After purchasing additional shares, ZEAL now controls over 95% of Lotto24 AG. This significant shareholding enables ZEAL Network SE to propose a squeeze-out of the remaining minority shareholders, in accordance with German law.

Currently, ZEAL holds approximately 94.86% of Lotto24 AG's shares. A recent acquisition of about 0.59% more shares brings ZEAL’s total shareholding to approximately 95.45%. This move paves the way for ZEAL to request a shareholder meeting to approve the transfer of shares from the minority shareholders to ZEAL Network SE, in exchange for fair compensation, the amount of which will be determined later.

This development marks a significant step in ZEAL Network SE's strategy to consolidate its hold on Lotto24 AG, indicating a move towards full ownership. Further details on the settlement and compensation will be announced in due course.
