Capital increase following the allocation of free shares to EuropaCorp employees
Paris, 18 September 2024 – EuropaCorp announces a capital increase of 2,295,623 new shares following the allocation of free shares to employees of the EuropaCorp group, which will increase the capital from 123,124,383 shares to 125,420,006 shares on 24 September 2024.
Following the decision taken on 15 July 2021 by EuropaCorp's Board of Directors, making use of an authorization granted by the Extraordinary General Meeting of Shareholders of 28 September 2020, to make free allocations of shares to employees and corporate officers, the Board of Directors noted, on 17 September 2024, following the Group's General Meeting, the fulfilment of the allocation conditions and consequently the issue of 2,295,623 new shares with a par value of thirty-four (34) euro cents each.
In accordance with the provisions of the free share allocation plan, the new shares will be issued on 24 September 2024, and an application will be made for these shares to be admitted to trading on Euronext Growth Paris from the same date.
These shares will be immediately assimilated to the existing shares.
In accordance with Article L. 225-197-4 of the French Commercial Code, a special report will be presented to the next Ordinary General Meeting of Shareholders.
The Company's share capital is thus increased to 42,642,802.04 euros, divided into 125,420,006 shares with a par value of thirty-four (34) euro cents each.
